Terms of Service

Welcome to YourPond. These Terms of Service (“Terms”) govern your access to and use of YourPond, operated by LilyPadLabs LLC (“we,” “us,” or “our”). By creating an account or using YourPond, you agree to these Terms. If you do not agree, do not use YourPond.

1. What YourPond Is

YourPond is a personal relationship management tool. It allows you to organize information about the people in your life — their locations, jobs, relationships, and your connection to them — and the moments and places you share with them. YourPond is designed for personal relationships. Messages YourPond sends to other people on your behalf, such as event invitations, are sent at your direction.

YourPond is available as a web application at yourpond.io, as a native iOS app distributed through the Apple App Store, and on any other platforms we may offer. Parts of YourPond may also work with features built into your device, such as Siri, Shortcuts, widgets, and Spotlight (see Section 12A).

2. Eligibility

You must be at least 16 years old to create an account or use YourPond. By using YourPond, you represent that you are at least 16 years of age. We do not knowingly collect data from anyone under 16. If we learn that a user is under 16, we will terminate their account and delete their data.

If you are under 18, some features may be limited, for example hosting events and being discoverable by other users. We handle information about users under 18 with additional care.

3. Your Account

You create an account using the sign-in options we offer, such as Google, Apple, or email. Your account works across the web application and our apps. You are responsible for maintaining the security of your sign-in credentials and for all activity that occurs under your account. Notify us immediately at hello@yourpond.io if you believe your account has been compromised.

Each account is for a single individual. You may not share your account credentials or allow others to access your account.

4. Free and Paid Plans

YourPond offers a free plan and paid plans, such as YourPond Pro. Current prices, plan limits, and the features included in each plan are shown on our website and in the app before you buy. The price and terms shown at checkout apply to your subscription. If we change the price of a subscription you already have, the change takes effect only after we give you the notice, and obtain any consent, required by law, and no earlier than your next renewal.

Web Billing

When you subscribe on the web, payment is processed by our payment processor (currently Stripe). By subscribing, you authorize us to charge your payment method at the start of each billing period at the price shown when you subscribed, or as later changed with notice.

App Store Billing

When you subscribe through an app store, such as Apple's App Store, payment is processed by that store, the price shown in the store applies, and your purchase is subject to the store's terms. A paid plan purchased on one platform gives you access to it on the other platforms we offer.

Auto-Renewal

Subscriptions renew automatically at the end of each billing period unless you cancel before the renewal date. For web subscriptions, you can cancel at any time from your account settings. For app store subscriptions, you can cancel at any time in your app store account settings. Cancellation takes effect at the end of the current billing period, and you keep access to your paid features until then.

Refund Policy

For web subscriptions: Annual subscriptions are eligible for a full refund within 30 days of purchase or renewal. Monthly subscriptions are not eligible for refunds. To request a refund, contact us at hello@yourpond.io. Refunds are processed to the original payment method.

For app store subscriptions: refund requests must be made to the app store you purchased through, under its policies. LilyPadLabs LLC does not process refunds for app store purchases.

5. Downgrade and Cancellation

If you cancel your Pro subscription or it expires:

• All your data is retained — nothing is deleted
• Content beyond the free plan's limits becomes read-only (viewable but not editable)
• Paid features become unavailable

You can re-subscribe at any time and immediately regain full access to all your data and Pro features.

6. Your Data and Content

Ownership

You own the data you enter into YourPond. We do not claim ownership of your contacts, notes, relationships, or any other content you create. We do not use your data to train AI models, sell it, or give it to advertisers, and we share it with third parties only as described in our Privacy Policy.

License to Operate

By using YourPond, you grant us a limited license to store, process, and display your data solely for the purpose of providing the YourPond service to you. This license ends when you delete your data or your account.

Sharing Your Profile (LilyPad)

You may share your profile information with people you choose, as a one-time snapshot or, where we offer it, as an ongoing share that keeps them updated when you change your profile. You decide what to include and can see it before sharing. You can stop an ongoing share at any time; stopping prevents future updates but does not remove what the other person already received. You are responsible for what you choose to share and with whom.

Data About Other People

YourPond allows you to store information about other people, including people who have not created YourPond accounts. You are responsible for the information you choose to add about them and for having the right to add it, and LilyPadLabs LLC is responsible for how it processes that information to provide YourPond, as described in our Privacy Policy. By storing information about other people in YourPond, you represent and warrant that:

• You have a legitimate personal or household purpose for storing their information
• You will not use YourPond to store information about others for commercial purposes, surveillance, harassment, or any unlawful purpose
• You will comply with all applicable data protection laws regarding the personal data you store
• You will promptly delete or correct information about any person who requests it
• You accept full responsibility for the data you choose to store about other people
• You will stop contacting anyone through YourPond who asks you to stop

Receiving a LilyPad

YourPond lets another person share their profile with you (a LilyPad). When you add it, that information becomes a contact in your account, and the responsibilities and warranties in this section apply to it. If the share is ongoing, updates the other person makes may appear in your account until they stop sharing.

No Third-Party Beneficiary Rights

People whose information you store in YourPond are not parties to these Terms and do not acquire any rights under these Terms. These Terms create no third-party beneficiary rights.

Account Deletion

You may delete your account from your account settings or by emailing hello@yourpond.io, or remove your content while keeping your account with Delete All My Data. We remove deleted data from our active systems promptly after your request, and copies in our encrypted backups are deleted within 30 days, except the limited records described in Section 9 of our Privacy Policy, such as invitation opt-outs, security records, purchase records, and responses on other people's guest lists. Events you host are deleted with your account.

Data Export

You can download a copy of your data at any time from your account settings, in a common machine-readable format, at no charge.

Data Backups

We maintain regular backups of your data as part of our standard infrastructure operations. Backups are used solely for disaster recovery and service continuity.

Uploaded Images

You may upload photos to personalize and enrich your account — for example contact avatars, or photos you add to moments, events, lists, places, and other parts of your account. You represent and warrant that you have the necessary rights to any image you upload. Uploaded images must comply with our Content & Takedown Policy, which is incorporated into these Terms. We do not pre-screen uploaded images, but we may remove any image that violates that policy, and we respond to copyright and non-consensual-imagery reports as described there. We may suspend or terminate the accounts of repeat infringers.

Connecting With Other Users

We may offer optional features for connecting with other YourPond users, such as finding people you know, linking accounts, or seeing people you have in common. When you turn one on, you allow us to use the information that feature describes, and other users who use it may see limited information about your connections as the feature explains. You may not use these features to harass anyone, to collect information about people at scale, or to find people who have not chosen to be found.

Personalization

YourPond may personalize what you see based on the preferences you share and how you use it, as described in our Privacy Policy.

Links to Other Sites

Links to other websites or apps are provided for convenience. Other sites have their own terms and privacy policies, and we are not responsible for their content, products, or services.

Group Content

Content for groups, such as a school or employer, may require you to confirm that you belong. You may not misrepresent your membership in a group to access its content.

6A. Hosting Events and Sending Invitations

YourPond lets you host events and invite people to them. When you send an invitation, you are asking us to deliver a message to that person on your behalf, by email or, where we offer it, by text message or inside YourPond to people you are connected with, and the invitation will identify you as the person inviting them.

By sending invitations through YourPond, you agree that:

• You will invite only people you have a relationship with and reasonably believe would welcome the invitation.
• You will not use invitations to send spam or messages people would not want, or for any purpose our Acceptable Use Policy does not allow.
• You will not invite anyone who has asked you not to contact them, and you understand that if a person tells us they do not want invitations, we will honor that request even if you invite them again.
• The event details you share, including any address, are yours to share, and you will share them only with people you trust with them.
• If we offer text-message invitations that YourPond sends, each one is sent at your direction: you choose each recipient and tell us to send it, and the message identifies you as the person inviting them. You represent that each person you text has agreed to receive texts from you about your events. Your representation does not replace any consent YourPond itself must obtain: for example, guests must opt in before YourPond sends them scheduled text reminders. Texts YourPond sends include opt-out instructions, and recipients can reply STOP to texts YourPond sends. If you send an invitation from your own device's messaging app, you are the sender, YourPond does not receive replies, and STOP handling does not apply to those messages.
• You will comply with the laws that apply to the messages you send, including anti-spam and telemarketing laws.

To protect the people who receive invitations and the reliability of our email, we limit how many people you can invite to an event and how many invitations you can send in a period of time. Limits may depend on your plan and are shown in the app. We may delay, decline to send, or stop invitations, and suspend this feature or your account, if we believe invitations are being misused.

We send invitations at your direction. You are responsible for whom you invite and what you share. We are responsible for how we process invitation information to deliver invitations and run this feature, as described in our Privacy Policy.

6B. Receiving and Responding to Invitations

If someone invites you to an event through YourPond, the event and its details are provided by the host, not by us. To see the full details and respond, you may need to sign in and confirm you are the person who was invited. When you respond, the host sees your response. Other guests see your name or attendance only if you choose to share it. You can stop receiving invitations through YourPond using the option included in every invitation.

7. Promotions and Referrals

We may from time to time offer promotional codes, discounts, free trial periods, referral credits, or similar offers. Any specific terms — who is eligible, what the offer is worth, when it expires — are posted with the offer itself and apply in addition to these Terms.

Promotional credits and referral rewards have no cash value, cannot be transferred or redeemed for cash, and expire as stated in the offer. We may modify, suspend, or end any promotion at any time, and we may withhold or reverse a credit where we reasonably believe an offer has been abused — including self-referral, duplicate or automated account creation, or use of a code outside its stated terms.

Nothing in this section obligates us to offer any promotion, or to continue one we have offered.

8. Testimonials and Feedback

If you send us feedback, suggestions, or ideas about YourPond, we may use them to improve the product without any obligation to you and without owing you compensation.

We may quote publicly posted reviews of YourPond — for example App Store reviews — attributed as they were posted. We will not quote anything you send us privately as a testimonial without asking you first. Where we have given someone anything of value in connection with a review or testimonial, we disclose that alongside the quote.

9. AI-Assisted Features

YourPond offers optional AI-assisted features, such as natural language contact entry and voice input, which use AI service providers (listed in our Privacy Policy) to turn what you type or say into structured data. When you use these features:

• What you type or say is sent to our AI service providers for processing
• We use AI providers that do not train their models on the data we send them
• Providers may keep it for a limited time for safety purposes, as described in our Privacy Policy
• YourPond does not store the free text you type or your audio, only the results you keep
• You review the results before they are saved, unless you choose a shortcut or setting that saves them directly

Our AI-assisted features help you enter and organize your data, and they may change over time.

YourPond itself is developed with the assistance of AI coding tools. All releases are reviewed, tested, and approved by a human before deployment.

10. Connected Accounts and Integrations

You can import information into YourPond, for example contacts from your device or from a file you upload, and we may offer connections to other services, such as email or calendar accounts. When you import information or connect an account:

• For any connection we offer, we access only what you authorize, through that service's own sign-in and permission screens, for the feature you connected it for
• You must have the right to import any information you bring into YourPond
• You can disconnect any connected account at any time from your account settings
• Information you import is stored in your YourPond account and treated the same as information you enter yourself

You are responsible for having appropriate access to any account you connect or information you import. Connecting an account authorizes YourPond to access the information you permitted.

11. Device Contact Import (iOS)

The YourPond iOS app allows you to import contacts from your device's address book. This feature requires your explicit permission via the iOS Contacts permission prompt. When you use device contact import:

• YourPond reads your device contacts only after you grant permission
• Imported contact data (names, phone numbers, email addresses) is sent to YourPond's servers and stored in your account
• You may revoke contact access at any time through your device's Settings app
• Imported contacts are treated the same as manually entered contacts

You are responsible for ensuring you have appropriate authority to import and store the contact information from your device.

12. Notifications

Our apps may send notifications with your permission. Examples include:

• Birthday reminders for your contacts
• Suggestions for reaching out to contacts you haven't connected with recently
• Reminders you have set for specific contacts or tasks
• Weekly or monthly relationship digests
• Important product updates and announcements
• Updates about events you host or are invited to, such as responses, changes, and cancellations

Notifications require your permission through your device. You can turn them off at any time in your device's settings or in the app.

12A. Device and Platform Features

The YourPond iOS app may work with features built into your device, such as Siri, Shortcuts, Spotlight, widgets, notifications, Live Activities, and Apple Intelligence, and our apps on other platforms may work with similar features. These features are optional and are provided by the platform maker under its own terms. When you use them:

• Requests you make through Siri or Shortcuts are processed by Apple before they reach YourPond, under Apple's terms and privacy policy.
• Shortcuts and automations you set up on your own device using YourPond's built-in actions are permitted, notwithstanding Section 13.
• Information shown in widgets, notifications, or on your lock screen may be visible to anyone with access to your device. You are responsible for your device's security and the settings you choose.
• Voice and AI-assisted results can be wrong. Review what is created or changed on your behalf.

Platform makers change these features over time, and we may add, change, or remove our support for them.

13. Acceptable Use

Your use of YourPond is subject to our Acceptable Use Policy, which is incorporated into these Terms by reference. This includes how you use invitations and any other messaging features. Violating the Acceptable Use Policy may result in account suspension or termination.

You may not make automated requests to YourPond, including scraping, crawling, or using bots to interact with the service, except through features we provide for that purpose, such as the Shortcuts and Siri actions in our apps used on your own devices. YourPond is designed for individual, personal use.

14. Communications

By creating an account, you agree that we may send you service messages about your account and the features you use, such as account confirmation, billing receipts, subscription changes, security alerts, and messages about events you host or join. We may also send product updates and other marketing emails. You can stop them at any time using the unsubscribe link in any such email or in your account settings.

Text messages. We will not send you marketing text messages unless you separately and specifically ask for them. If we offer text messages, such as event invitations or reminders you request, message and data rates may apply, message frequency varies, and you can reply STOP at any time to stop them or HELP for help.

Invitations from other people. If someone invites you to an event through YourPond, we deliver that invitation on their behalf. Every invitation includes a way to stop receiving invitations sent through YourPond.

15. Platform Compatibility

The YourPond web application is designed for current versions of major web browsers. Our apps require the operating system versions listed on their app store pages. We do not guarantee compatibility with older browsers, older operating systems, or other software, and we may not be able to ensure a consistent experience outside supported platforms.

16. Apple App Store

Your download and use of the YourPond iOS application is additionally governed by Apple's Licensed Application End User License Agreement, available at https://www.apple.com/legal/internet-services/itunes/dev/stdeula/ (“Apple EULA”). The Apple EULA applies to the iOS app binary as a software license between you and Apple. To the extent of any conflict between these Terms and the Apple EULA with respect to the iOS app binary, the Apple EULA controls. These Terms continue to govern your YourPond account, subscription, and the underlying service regardless of the platform you use to access it.

If you download or use the YourPond iOS app from the Apple App Store, you further acknowledge and agree to the following:

• These Terms are between you and LilyPadLabs LLC, not Apple Inc. LilyPadLabs LLC is solely responsible for YourPond and its content.
• Apple has no obligation to provide any maintenance or support services for YourPond. LilyPadLabs LLC is responsible for any product support.
• In the event of any failure of YourPond to conform to any applicable warranty, you may notify Apple, and Apple will refund the purchase price (if any) for the app. To the maximum extent permitted by law, Apple has no other warranty obligation with respect to YourPond.
• Apple is not responsible for addressing any claims by you or any third party relating to YourPond, including product liability claims, claims that the app fails to conform to legal or regulatory requirements, and claims arising under consumer protection or similar legislation.
• Apple and Apple's subsidiaries are third-party beneficiaries of these Terms as they relate to your use of the iOS app, and Apple will have the right to enforce these Terms against you as a third-party beneficiary.

If you get our apps from another app store, that store's terms also apply to your download and any purchases you make through it.

17. Intellectual Property

YourPond, including its design, code, brand, color palette, network visualization, and all associated materials, is the intellectual property of LilyPadLabs LLC. You may not copy, modify, distribute, or create derivative works based on YourPond without our written permission.

The YourPond name, LilyPadLabs name, and associated logos are trademarks of LilyPadLabs LLC. You may not use them without our written permission.

18. Changes to the Service and These Terms

We may introduce new features, modify existing features, or change how YourPond collects, uses, or processes data. When we make changes that materially affect your rights or how your data is handled, we will update these Terms and/or our Privacy Policy and notify you via email or in-app notification at least 7 days before the changes take effect.

Continued use of YourPond after the effective date of updated Terms constitutes acceptance of those changes. If you do not agree with the updated Terms, you may stop using YourPond and request deletion of your account.

Accepting updated Terms is separate from any consent we ask for to use your information in a materially new way. If you do not accept updated Terms, you can still cancel your subscription, export your data, and delete your account.

New features. When we add a feature, these Terms apply to it. We may also show feature-specific terms in the app, which apply in addition to these Terms.

19. Availability

We aim to keep YourPond available and reliable, but we do not guarantee uninterrupted access. We may modify, suspend, or discontinue features or the entire service at any time. If we discontinue the paid web service entirely, we will provide at least 30 days' notice and a pro-rated refund for any unused portion of an annual subscription. For the iOS app, availability is additionally subject to Apple's App Store policies and distribution requirements.

20. Disclaimers

YourPond is provided “as is” and “as available” without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

We do not warrant that YourPond will be error-free, secure, or available at all times. We do not warrant the accuracy of any data you import or enter — you are responsible for the accuracy of your own data. We do not review, verify, or endorse any user data stored in YourPond. LilyPadLabs LLC will have no responsibility for any harm to your computer system, mobile device, loss or corruption of data, or other harm that results from your access to or use of YourPond.

Events and meeting people. YourPond does not verify the identity of hosts or guests, check event details, or supervise events. To the extent permitted by law, we are not responsible for the conduct of hosts, guests, or anyone you meet through an event, or for whether an event takes place, except where the harm is caused by our own breach of these Terms or our own negligence. Use your judgment, especially when meeting people in person or sharing an address.

Places and maps. Place names, maps, search results, and location information come in part from third parties and may be incomplete or inaccurate.

21. Limitation of Liability

To the maximum extent permitted by law, LilyPadLabs LLC's total liability to you for any claims arising from or related to YourPond is limited to the amount you paid us in the 12 months preceding the claim, or $120, whichever is greater.

We are not liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of data, loss of profits, or damages arising from your reliance on YourPond.

To the extent permitted by law, LilyPadLabs LLC is not liable for claims arising from the information you choose to store about other people, the invitations you send, or events you host or attend, except to the extent caused by our own breach of these Terms, our negligence, or our violation of applicable law. You are responsible for the personal data you enter about others and the invitations you send.

22. Indemnification

You agree to indemnify and hold harmless LilyPadLabs LLC, its officers, directors, employees, and agents from third-party claims, and the resulting damages, losses, and reasonable legal fees, to the extent they arise from your breach of these Terms, your violation of law or of a third party's rights, or your misuse of YourPond, including information you store about other people, content you submit, and invitations you send. This does not apply to the extent a claim is caused by our own breach, negligence, or misconduct.

This indemnification obligation survives termination of your account and these Terms.

23. Dispute Resolution

Please read this section carefully — it affects your legal rights.

Informal Resolution First

Before filing any claim, you agree to email hello@yourpond.io and give us at least 30 days to resolve the issue informally.

Binding Arbitration

Any dispute arising out of or relating to these Terms or YourPond that is not resolved informally will be resolved by binding individual arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules, rather than in court. The Federal Arbitration Act governs the interpretation and enforcement of this arbitration agreement. The arbitration will be conducted by videoconference or, at your election, in the county where you live. AAA fees will be allocated under the Consumer Arbitration Rules; we will pay the fees the Rules assign to us.

Exceptions

Either party may bring an individual claim in small claims court, and either party may seek injunctive or equitable relief in court for intellectual-property infringement or unauthorized access to the service.

Class Action and Jury Trial Waiver

All claims must be brought in the parties' individual capacity, and not as a plaintiff or class member in any purported class, consolidated, or representative proceeding. The arbitrator may not consolidate more than one person's claims. You and LilyPadLabs LLC each waive the right to a jury trial. If this class-action waiver is found unenforceable as to a particular claim, that claim (and only that claim) will be severed and proceed in court.

Mass Filings

If 25 or more similar claims are asserted against LilyPadLabs LLC by the same or coordinated counsel, the parties agree that the AAA's Mass Arbitration Supplementary Rules apply, and the claims will proceed in staged batches of up to 25 while the parties attempt a global resolution after each stage.

30-Day Right to Opt Out

You may reject this arbitration agreement by emailing hello@yourpond.io with the subject line “Arbitration Opt-Out” and your account email within 30 days after you first accept these Terms. If you opted out of arbitration under an earlier version of these Terms, that opt-out continues to apply and you do not need to opt out again. If we make a material change to this Section, you may reject the change by the same method within 30 days after it takes effect. Opting out of arbitration does not affect any other provision of these Terms.

Governing Law and Venue

These Terms are governed by the laws of the State of Illinois, without regard to conflict of law principles. For any matter proceeding in court rather than arbitration, exclusive venue lies in the state or federal courts located in Cook County, Illinois, and you consent to the personal jurisdiction of those courts.

24. Termination

You may close your account at any time. We may suspend or terminate your account if you violate these Terms or the Acceptable Use Policy. Upon termination, your right to use YourPond ends, and we delete your data as described in Section 6 and our Privacy Policy, except where we must keep it by law.

We will make reasonable efforts to notify you before taking action, except where immediate action is necessary to prevent harm or comply with legal obligations.

25. Severability

If any provision of these Terms is found to be unenforceable or invalid by a court of competent jurisdiction, the remaining provisions remain in full force and effect.

26. Entire Agreement

These Terms, together with the Privacy Policy, Acceptable Use Policy, Cookie Policy, and Content & Takedown Policy, constitute the entire agreement between you and LilyPadLabs LLC regarding YourPond. These Terms supersede any prior agreements or understandings.
